Welcome to HerCloser. These Terms & Conditions (“Terms”) govern your access to and use of the HerCloser website, applications, and services (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Service description

HerCloser is an AI-powered sales-practice platform. It lets you rehearse sales conversations and objection handling by voice (and text) with simulated buyer personas, and provides feedback, analysis, and progress tracking. HerCloser is a training and skill-building tool only.

2. Eligibility

You must be at least 18 years old to create an account or use the Service. By using HerCloser you represent that you are 18 or older and are able to enter into a binding agreement.

3. Your account

• You are responsible for the accuracy of the information you provide and for keeping your login credentials secure.
• You are responsible for all activity that happens under your account.
• Notify us promptly at hello@hercloser.com if you believe your account has been accessed without permission.
• One account is for one person; accounts may not be shared.

4. Free session & paid subscriptions

New users receive one free practice session with no payment or card required. Continued or unlimited practice requires a paid subscription (for example, Starter, Professional, or Elite). Prices and plan features are shown at checkout and may change with notice for future billing periods.

• Subscriptions renew automatically at the end of each billing period (monthly or annual) until cancelled.
• You authorise us and our payment processor to charge your chosen payment method for each renewal.
• Applicable taxes may be added.

5. Cancellation & refunds

You may cancel your subscription at any time; cancellation stops future renewals and your access continues until the end of the current billing period. HerCloser offers a 14-day money-back guarantee on paid plans. Full details are in our Refund Policy.

6. AI-generated content

Practice scenarios, buyer personas, objections, spoken responses, feedback, and scores are generated by artificial intelligence. The AI buyer personas are fictional and do not represent real people. AI output may be inaccurate, incomplete, or unsuitable for a given real-world situation, and should be treated as practice material — not professional, legal, financial, or sales advice for any specific deal.

7. Acceptable use

You agree not to:

• Resell, sublicense, rent, or commercially redistribute the Service or its output;
• Scrape, crawl, harvest, or use automated means to extract data from the Service;
• Reverse engineer, copy, or attempt to derive the underlying models or source code;
• Interfere with, overload, or disrupt the Service or its security;
• Use the Service for anything unlawful, harmful, harassing, or infringing on others’ rights.

8. Intellectual property

The Service, including its software, design, branding, and AI-generated practice content, is owned by HerCloser and protected by law. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own personal, non-commercial sales practice.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that using HerCloser will produce any particular sales result. Results vary by individual.

10. Limitation of liability

To the maximum extent permitted by law, HerCloser and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenues, arising from your use of (or inability to use) the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to HerCloser in the 12 months before the claim.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to others or to the Service.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Continued use after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware will have jurisdiction over any dispute that is not otherwise resolved.
